Terms of Service

Important note

These Terms are intended as a practical baseline for an early-stage product. Have qualified legal counsel review them for your entity, risk profile, billing model, and the states / countries where you operate.

Agreement to terms

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Eligibility

You must be able to form a binding contract and not be barred from using the Services under applicable law. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

Accounts and security

You are responsible for safeguarding your credentials and for activity under your account. Notify us promptly at hello@aggregatecommunitygroups.com if you suspect unauthorized access.

The Services

ACG provides collaboration tools for businesses and related workflows (including messaging, workspace features, notifications, and optional integrations). Features may change and may be offered under different plans.

Payments, AI credits, and automatic top-up

ACG does not sell a subscription. Paid features are unlocked by buying AI credits, a one-time payment processed by Stripe. There is no recurring charge unless you switch on automatic top-up, described below.

AI credits. Credits are the unit we use to bill AI usage. Each AI reply consumes credits in proportion to what that reply costs to produce, which varies with the length of the conversation and the AI model you choose. Your balance and a line-by-line history of what was spent are shown in Settings. Every business also receives an allowance of free credits each month; that allowance is replaced at the start of each calendar month and does not carry over. Credits you have paid for do not expire.

Automatic top-up is optional and off unless you turn it on. If you switch it on, you authorise us to charge your saved payment method for the credit pack you selected, without further action from you, whenever your credit balance falls below the top-up threshold. You choose the pack and the maximum total we may charge in any calendar month, and we will not exceed that limit. You can turn automatic top-up off at any time in Settings, effective immediately for future charges, and we will tell you if a top-up fails.

Saved payment methods. We store a payment method only if you ask us to at checkout. Card details are held by Stripe, not by ACG. You can remove a saved card at any time through the billing portal in Settings.

Refunds and taxes. Purchases of AI credits are final and non-refundable. In exchange, credits you have paid for never expire: they stay in your account for as long as the account is open, and are spent only when you actually use the AI. Prices exclude any taxes that may apply, which will be added at checkout where required.

If a payment fails or is reversed, access to paid features may end and we may deduct the corresponding credits from your balance.

Optional integrations

If you connect third-party services (including Google OAuth and Google Calendar-related features where available), your use of those services is also subject to the third party’s terms and your grant of permissions.

Acceptable use

You agree not to:

• violate law or infringe others’ rights;
• harass, threaten, spam, or distribute malware;
• attempt to disrupt, scrape, overload, or probe the Services;
• misuse another user’s information obtained through the Services.

User content

You retain rights in content you submit. You grant ACG a non-exclusive license to host, store, reproduce, and display that content solely to operate and improve the Services for you and other users as intended.

Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACG WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID ACG FOR THE SERVICES DURING THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Indemnity

You will defend and indemnify ACG against claims arising from your use of the Services, your content, or your violation of these Terms, subject to applicable law.

Termination

We may suspend or terminate access if you violate these Terms or if necessary to protect the Services or users. You may stop using the Services at any time.

Governing law and venue

These Terms are governed by the laws of the State of Colorado, excluding conflict-of-law rules. Courts in Denver, Colorado will have exclusive jurisdiction, subject to mandatory consumer protections in your jurisdiction where applicable.

Changes

We may modify these Terms by posting updates on this page and updating the “Last updated” date. Continued use after changes become effective constitutes acceptance.
